COVERPAY TERMS.

These terms and conditions (Terms) apply to your use of the Platform and are a legally binding agreement between you and Coverpay Pty Ltd.

Please read these Terms carefully before you access or use the Platform and keep a copy for future reference. We may update these Terms from time to time and you will need to agree to any updated Terms.

By clicking "Confirm" or accessing the Platform, you agree to these Terms. If you do not agree, you must immediately stop using the Platform.

In these Terms, a reference to “we”, “us” and “our” means Coverpay Pty Ltd ACN 644 007 081.

Item 1
Plan Management Fee

Variable $3.00 - $79.00 per instalment paid.

This fee is payable to us when you have an active Payment Plan with us. This fee varies based on the number of instalments, the frequency of repayments and the Invoice Amount. We will deduct this amount with each instalment. In some cases, the Merchant may absorb these fees for you, and if this is the case, there will be no fee payable by you. If this fee applies to your Payment Plan, the amount will be clearly stated at the time you create your Payment Plan and included in your Plan Instalment Schedule.

Item 2
Plan Activation Fee

Variable $10.00 - $90.00

This fee is payable to us when we approve a Payment Plan. This fee varies based on the number of instalments, the frequency of repayments and the Invoice Amount. We will deduct this amount with your first instalment. In some cases, the Merchant may absorb these fees for you, and if this is the case, there will be no fee payable by you. If this fee applies to your Payment Plan, the amount will be clearly stated at the time you create your Payment Plan and included in your Plan Instalment Schedule.

Item 3
Plan Default Fee

$40.00

This fee is payable to us when you fail to pay an instalment under a Payment Plan and are in default. We will add this amount to any outstanding instalment when you are in default.

Maximum Plan Limit

$10,000.00

The maximum limit for a Payment Plan. The Maximum Plan Limit may be reduced for certain Merchants. If a reduced limit applies to your Payment Plan, the Platform will clearly state and enforce the limit that applies to you.

Maximum Platform Limit

$20,000.00

The maximum limit for your Account Balance. The Maximum Platform Limit may be reduced for certain Merchants. If a reduced limit applies to your Account, the Platform will clearly state and enforce the limit that applies to you.

Item 6
Maximum Boost Limit

$10,000.00

The maximum limit of an Invoice Amount. The Maximum Boost Limit may be reduced for certain Merchants. If a reduced limit applies to your Payment Plan, the Platform will clearly state and enforce the limit that applies to you.

You will need to make a deposit if your Invoice Amount is greater than the Maximum Plan Limit. The deposit will be specified in your Payment Plan and equal to the difference between your Invoice Amount and Maximum Plan Limit. The deposit will be deducted with your first instalment on the day your Payment Plan is approved.

Definitions

In these Terms, unless the context indicates otherwise:

Account means the account we have created for you to use the Platform.

Account Balance means the balance of your Account calculated in accordance with clause 2.8.1

AFS means Australian Financial Services.

AML/CTF Laws has the meaning in clause 15.1.1.

Authority means the following statement of direction and authority:

The policyholder authorises and consents to us sending this letter to you, which confirms that the policyholder irrevocably authorises and directs you to:

  • a.
    Pay all amounts due and payable by you to the insureds under the insurance policies to Coverpay, including but not limited to:
    • i.
      proceeds of an insurance claim;
    • ii.
      a premium refund (whether as a result of cancellation or otherwise); and
    • iii.
      any indemnity for loss; and
  • b.
    Accept cancellation instructions from Coverpay in respect of the insurance policies.

Business Day means a day (other than a Saturday or Sunday) on which banks are open for general business in Victoria.

Cancellation Date means the date a cancellation of a Policy in accordance with the terms of the Policy takes effect.

Claims Proceeds means all money at any time paid or payable to you under or in connection with an insurance claim or an indemnity for loss under a Policy.

Commission means any commission that is payable to a Merchant in respect of a Policy purchased by you that complies with the Applicable Laws.

Cooling-off Period means any cooling-off period that applies to a Policy under the Corporations Act 2001 (Cth).

Coverpay means Coverpay Pty Ltd ACN 644 007 081.

Endorsement means an amendment to an existing Policy that changes the terms of that original Policy.

Enforcement Expenses means the amounts reasonably incurred or expended by us in relation to the exercise of any right or power under or in relation to these Terms after a default or breach of these Terms by you, including but not limited to debt recovery and legal expenses.

Force Majeure Event means an event or circumstance beyond the reasonable control of any party (including a natural event or disaster, pandemic, act of war, revolution, strikes, lockouts and acts of government) which makes it impossible, impracticable or illegal for a party to perform its obligations under these Terms, but does not include lack of funds for any reason.

Funded Policy has the meaning in clause 3.1.1a.

Insolvency Event means:

  • a.
    any step being taken by a mortgagee to take possession, or dispose, of the whole or any part of your assets;
  • b.
    any step being taken to appoint a receiver, a receiver and manager, a trustee in bankruptcy, or other like person in respect of the whole or any part of your assets;
  • c.
    any step being taken which could result in you being subject to any arrangement, assignment or composition, protected from creditors under any statute;
  • d.
    being otherwise unable to pay your debts as they fall due; or
  • e.
    having something with the same or a similar effect happen under the laws of any jurisdiction.

Instalment means each instalment a Customer is liable to pay Coverpay under a Payment Plan.

Insurer means the insurer of your Policy.

Invoice Amount means the full amount payable by you to a Merchant in respect of a Policy or Endorsement (as applicable) to be purchased by you.

Maximum Boost Limit means the maximum limit of an Invoice Amount including any deposit as detailed in Item 6 of the Plan Summary.

Maximum Plan Limit means the maximum limit for a Payment Plan as detailed in Item 4 of the Plan Summary.

Maximum Platform Limit means the maximum limit for your Account Balance at any given time determined as detailed in Item 5 of the Plan Summary.

Merchant means the person from whom you purchased the Policy and who has a Merchant Agreement in place with us.

Merchant Agreement means the terms and conditions that a Merchant needs to agree to in order to refer customers to the Platform.

Nominated Card means a debit card or credit card chosen by the Customer to make Instalments under a Payment Plan under clause 2.4.

Outstanding Instalment has the meaning in clause 5.3.1a.

Payment Gateway means a payment gateway provided by a third party payment provider chosen by Coverpay, which is integrated into the Platform and enables Coverpay to process payments in accordance with these Terms.

Payment Plan means the instalment plan, which is issued by Coverpay to you via your Account to advance the funds required to meet the Invoice Amount for a Policy purchased from a Merchant.

Plan Activation Fee means the fee payable by you for us to activate a Payment Plan as detailed in Item 2 of the Plan Summary.

Plan Default Fee means the fee payable by you for us if you default under a Payment Plan as detailed in Item 3 of the Plan Summary.

Plan Instalment Schedule means the payment schedule for paying the Instalments under a Payment Plan, as provided to you when we approve a Payment Plan.

Plan Management Fee means the fee payable by you for us managing a Payment Plan as detailed in Item 1 of the Plan Summary.

Plan Summary means the summary of the fees, charges and limits as detailed on page 1 of these Terms.

Platform means an insurance policy purchased by you from a Merchant outside of the Platform.

Policy means an insurance policy purchased by you from a Merchant outside of the Platform.

Policy Date means the date you purchase a Policy from the Merchant.

Premium means the premiums payable under a Policy you purchase from a Merchant.

Premium Refund means the premium refund due and payable to you upon cancellation of a Policy as calculated by the Insurer.

Privacy Consent means the privacy consent accessible at https://coverpay.com.au/privacy.html.

Privacy Policy means our privacy policy accessible at https://coverpay.com.au/privacy.html.

Seven Day Period has the meaning in clause 5.3.1e.i.

Terms means these terms and conditions, together with any other documents incorporated by reference, including the Privacy Policy.

Three Day Period has the meaning in clause 5.3.1b.

Website means Coverpay’s website accessible from this link www.coverpay.com.au.
